Programming & Web Development Terms of Service

The terms and conditions governing custom programming, web, and mobile application development projects at SuperCode.

1. Definitions & Acceptance

  • "Provider" / "We": SuperCode — Palestine.
  • "Customer" / "You": The person or entity requesting a development service.
  • "Project": Any development work agreed upon (website, application, script, design).
  • "Quote": A document specifying project scope, price, and timeline.

Accepting the Quote and paying the initial deposit means acceptance of this Agreement and the Quote terms.

2. Project Scope

The scope of work is clearly defined in a written Quote before the project starts. Any work not explicitly listed in the Quote is considered out-of-scope.

  • The Quote includes: features, pages, languages, allowed revision rounds.
  • Any subsequent additions are priced and executed under a separate Change Order.
  • The Customer is bound to provide content (text, images, brand identity) before agreed dates.
  • Delays in Customer content delivery extend the timeline by the same delay period.

3. Quotes & Pricing

  • The Quote is valid for 14 days from issuance, unless otherwise stated.
  • The price covers only listed work. It excludes: hosting, domain, commercial software licenses, third-party services.
  • Prices are in US Dollars (USD) unless otherwise stated.
  • Local taxes (if any) are added to the price.

4. Payments

Payment is typically made in stages:

  • Initial deposit: 50% of the project value, paid before work begins.
  • Second payment: 30% upon delivery of the first version for review.
  • Final payment: 20% before final delivery and activation on the server.

Larger projects may be split into more milestones under a separate agreement.

  • Delay in any payment pauses work until payment is received.
  • The Provider retains ownership rights on the work until full payment is received.
  • Payment gateway fees are borne by the Customer.

5. Timeline

The timeline stated in the Quote is an estimate based on the agreed scope and timely content delivery.

  • Delays by the Customer in content, replies, or approvals automatically extend the timeline.
  • Adding new tasks during execution extends the timeline.
  • Any delay attributable to the Provider is compensated by additional effort to complete the project as soon as possible.

6. Change Requests

Project modifications fall into 3 types:

  • Minor revisions: Within the revision rounds allowed by the Quote (typically 2-3 rounds) — free.
  • Major revisions: Beyond allowed rounds, priced hourly or based on modification size.
  • New features: Out-of-scope — require a separate quote (Change Order).

7. Delivery & Acceptance

  • The project is considered delivered upon deployment to the Customer's server or handover of files.
  • The Customer has 14 days from delivery to test the project and report any bugs.
  • Bugs related to the Quote's scope are fixed for free during this period.
  • After 14 days, any fix or modification is priced hourly.
  • Bugs caused by Customer or third-party intervention in the script are not covered under warranty.

8. Intellectual Property

  • The Customer owns full rights to the final delivered version, upon full payment.
  • Open Source libraries used remain subject to their original licenses (MIT, GPL, etc.).
  • The Provider retains the right to display the project in its portfolio, unless the Customer requests otherwise in writing.
  • Tools, templates, and internal libraries developed by the Provider remain its property, even if used in the project.

9. Free Support Period

Each project includes a free support period for fixing programming bugs for 30 days from final delivery.

  • Support includes: bug fixes within the Quote scope, answering usage inquiries.
  • Support does not include: modifications, new features, extended training, hosting or third-party service issues.
  • After the period ends, a monthly maintenance contract may be arranged at special rates.

10. Third-Party Services

Many projects rely on third-party services (Google Maps, PayPal, payment gateways, APIs). The Provider integrates with them but does not bear responsibility for their performance.

  • Subscription fees for these services are paid by the Customer directly to the respective providers.
  • Any changes in these services' APIs may require project updates at additional fees.
  • Outages or issues with these services are not the Provider's responsibility.

11. Project Cancellation

  • Customer cancellation after the initial deposit: the deposit is retained in full against completed work and consumed time.
  • Cancellation after second milestone delivery: the Customer receives what has been completed, no refunds on payments made.
  • Provider cancellation for reasons attributable to it: the Customer is refunded a portion of payments corresponding to unfinished work.

12. Limitation of Liability

  • The Provider is not liable for the Customer's use of the project or its content.
  • The Provider is not liable for indirect damages (lost profits, lost opportunities).
  • Maximum liability shall not exceed the total project value paid.
  • Security breaches caused by weak passwords or external intervention are not the Provider's responsibility.

13. Confidentiality

The Provider is bound to keep confidential any commercial or technical information encountered during work, and does not share it with third parties except with the Customer's written consent or by judicial order.

The project itself (public interfaces and designs) may appear in the portfolio — private data (databases, accounts, keys) is never shared.

14. Governing Law

This Agreement is governed by the laws of the State of Palestine. Any dispute shall be under the exclusive jurisdiction of the competent courts in Nablus Governorate, Palestine.

15. Contact

By accepting the Quote and paying the initial deposit, you acknowledge that you have read and accepted the terms of this Agreement.
